The Companies Act, 2013
The Act came into force and was implemented in phases. The first section of the Act came into force on August 30th, 2013. The Act substituted the Companies Act, 1956 and regulates incorporation of a company, responsibilities of a company, directors, promoters, and dissolution of a company. (Act available in PDF here)
Insolvency and Bankruptcy Code, 2016
The Code came into force on May 28th, 2016. It consolidates and amends the laws relating to reorganization of company assets and insolvency resolution process of corporate persons, partnership firms and individuals in a time bound manner for maximization of value of assets of such persons, to promote entrepreneurship, availability of credit and balance the interests of all the stakeholders. Op-Ed: PPIRP Explained: Good, Bad and Ugly
The Insolvency and Bankruptcy Code (Amendment) Bill, 2021 (Bill) was recently passed by the Rajya Sabha. The Bill does well in simplifying and expediting the revival process of ailing Medium Small and Micro Enterprises (MSMEs), through the proposed Pre-Packaged Insolvency Resolution Process (PPIRP).
However, the Bill lacks clarity, and remains silent on various critical issues. Given that the bill is slated to become a law soon, this is an opportune time to discuss its Good Bad and Ugly. (Read More)
